Webinar on Corporate AGM in virtual Mode

The webinar will be hosted by Mr Vinod Kothari.

While this might have been the product of a crisis, but we are sure the AGM by VC mode (Virtual AGM) will turn out to be a boon for corporate democracy and may, in all likelihood, become the permanent feature of corporate practice. Given the cost, convenience, speed and fast turnaround, we are expecting that a large number of companies will opt to avail the option of doing AGM 2020 in the virtual way.

We intend to discuss threadbare, illustratively, the following issues in this webinar (expected duration 90-120 mins):

  • Scope and applicability
  • Eligibility conditions – the numerical and ad valorem majority  – is it before or after the pre-meeting public notice; ascertaining shareholder identities and inherent security issues
  • The economics of virtual AGMs – various factors in evaluating whether you should opt for the virtual AGM or wait for a few months; whether you should push important resolutions by virtual postal ballot, or do EGM – choosing between postal ballot, EGM and AGM
  • Board decision about “unavoidable” special businesses – what are the factors in determination?
  • Preparation of notices and explanatory statement and other pre-meeting formalities
  • Sequencing of shareholder participation at the meeting
  • Post-meeting formalities
  • Use of shareholder-circulated resolutions and other issues in AGM
  • Virtual AGMs for smaller companies
