Experience
Finance: represent commercial or investment banks, issuers,
and other financial institutions or entities in negotiating, documenting,
and underwriting: • sales of receivables, asset-backed or mortgage-backed
securities, and other structured financings, or securitization transactions,
contested and uncontested tender offer financings and other acquisitions
such as leveraged buy-out financings • secured lending agreements and
other financing transactions with customers engaged in equipment leasing,
airline, data processing, transportation, telecommunications, insurance,
steel, heavy industry, and retailing industries • private and public
consensual debt restructurings, including "mega" work-outs. Corporate:
represent banks and bank holding companies in: • opinions on securitization
and other regulatory issues • issuance of equity and debt securities
• organizing and acquiring nonbank subsidiaries • mergers and other
acquisitions of bank and nonbank entities • financial institution antitrust
advice • conversion of banks to state or national charters • contesting
acquisitions of competitors • trust department questions • relations
with governmental regulators, including negotiation of new regulations
